Welcome to SEOai360. These Terms of Service ("Terms") constitute a legally binding agreement between you and SEOai360, Inc. ("SEOai360," "we," "our," or "us") governing your access to and use of our website, applications, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

1. Eligibility

To use our Services, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction
  • Have the authority to enter into these Terms on behalf of yourself or your organization
  • Not be prohibited from using the Services under applicable laws

By using our Services, you represent and warrant that you meet these eligibility requirements.

2. Description of Services

SEOai360 provides AI visibility analysis tools designed to help website owners optimize their digital presence for AI-driven search engines, voice assistants, and large language models. Our Services include:

  • AI Visibility Analysis: Comprehensive analysis of websites for Answer Engine Optimization (AEO), AI Optimization (AIO), and Generative Engine Optimization (GEO)
  • Actionable Recommendations: Prioritized suggestions to improve your website's AI discoverability
  • Historical Tracking: Monitor your progress over time with historical data and trend analysis
  • PDF Reports: Export detailed reports for stakeholders and team collaboration
  • API Access: Programmatic access to our analysis tools (Enterprise plan only)

3. Account Registration

3.1 Account Creation

To access certain features of our Services, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. We recommend enabling two-factor authentication and using a strong, unique password. We are not liable for any loss or damage arising from your failure to protect your account.

4. Subscription Plans and Payment

4.1 Free Plan

Our free plan provides limited access to our Services at no cost. Free plan users may analyze up to 5 websites per month with basic AEO, AIO, and GEO scores. Additional features may be restricted.

4.2 Paid Subscriptions

Paid subscriptions (Pro and Enterprise) provide enhanced features and increased usage limits. By subscribing to a paid plan, you agree to:

  • Pay all fees associated with your chosen plan
  • Authorize us to charge your payment method on a recurring basis
  • Maintain valid payment information in your account

4.3 Billing and Renewal

Subscriptions are billed in advance on a monthly or annual basis, depending on your selection. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

4.4 Price Changes

We reserve the right to modify our pricing at any time. Price changes will be communicated at least 30 days in advance and will take effect at your next renewal date.

4.5 Refunds

All fees are non-refundable except as expressly stated in these Terms. We offer a 14-day money-back guarantee for new Pro subscriptions. If you are not satisfied within the first 14 days, contact us for a full refund.

4.6 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until then. No partial refunds are provided for unused portions of a billing period.

5. Acceptable Use

You agree to use our Services only for lawful purposes. You may not:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the Services to analyze websites you do not own or have permission to analyze
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of our Services
  • Reverse engineer, decompile, or attempt to extract source code from our Services
  • Use automated tools to scrape, harvest, or extract data from our Services
  • Resell, sublicense, or redistribute our Services without authorization
  • Submit URLs containing malicious code, illegal content, or harmful material
  • Use our Services to engage in competitive analysis for the purpose of building a competing product
  • Circumvent any usage limits or restrictions associated with your plan

6. Intellectual Property

6.1 Our Intellectual Property

All content, features, functionality, trademarks, and technology comprising our Services are owned by SEOai360 and protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on our Services without express written permission.

6.2 Your Content

You retain ownership of any content you submit to our Services, including website URLs and associated data. By submitting content, you grant us a limited, non-exclusive license to use, process, and store that content solely for the purpose of providing our Services to you.

6.3 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant us the right to use that feedback without restriction or compensation.

7. Third-Party Services

Our Services may integrate with or link to third-party services. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is subject to their respective terms and policies.

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • Our Services will meet your specific requirements or expectations
  • Our Services will be uninterrupted, timely, secure, or error-free
  • Analysis results will be accurate, complete, or reliable
  • Following our recommendations will improve your search rankings or AI visibility
  • Any defects in our Services will be corrected

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SEOAI360 AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless SEOai360 and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you submit through our Services

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting a notice on our website, sending an email to your registered address, or through the Services. Your continued use of our Services after the effective date of any modifications constitutes your acceptance of the revised Terms.

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

12.2 Termination by Us

We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Reasons for termination may include:

  • Violation of these Terms or our Acceptable Use Policy
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies

12.3 Effect of Termination

Upon termination, your right to use our Services will immediately cease. We may delete your account data within 30 days of termination. Provisions of these Terms that by their nature should survive termination will remain in effect.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at sales@seoai360.com to attempt to resolve any dispute informally.

13.2 Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Goirgetown, USA, unless otherwise agreed.

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in San Francisco County, California.

15. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and SEOai360 regarding our Services.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
  • Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
